Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by ChartNote Health Inc. ("Company," "we," "us"), including the chartnote.app website and all related applications, tools, and APIs (collectively, the "Service").

1. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

ChartNote Health Inc. provides AI-powered clinical documentation tools designed to assist healthcare providers in generating structured clinical notes from patient encounters. The Service is intended as a documentation aid and does not provide medical advice, diagnosis, or treatment recommendations.

3. HIPAA Compliance

We maintain compliance with the Health Insurance Portability and Accountability Act (HIPAA). We will enter into a Business Associate Agreement (BAA) with covered entities as required. Protected Health Information (PHI) is encrypted in transit and at rest, and access is restricted to authorized personnel only.

4. User Responsibilities

You are responsible for: (a) maintaining the confidentiality of your account credentials; (b) reviewing and approving all AI-generated clinical notes before submission to your EHR; (c) ensuring compliance with applicable healthcare regulations in your jurisdiction; (d) all activity that occurs under your account.

5. Intellectual Property

The Service, including all software, algorithms, designs, and documentation, is the intellectual property of ChartNote Health Inc.. Clinical notes generated through the Service are owned by the healthcare provider or organization that created them.

6. Limitation of Liability

To the maximum extent permitted by law, ChartNote Health Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount paid by you in the twelve months preceding the claim.

7. Governing Law

These Terms are governed by the laws of Massachusetts, USA. Any disputes shall be resolved in the courts of Massachusetts, USA.
